Sir,

I am a Fellow Member of the Institute of Company Secretaries of India ICSI, New Delhi and hold a Masters Degree in Commerce M.Com from Madras University and Bachelors Degree in Commerce B.Com from Loyola College, Chennai. Also pursuing my MBA in Adam Smith University DELUSA. In additional to the above, I have done RDBMS from Sam Computer College, Chennai.  Also, have a certification from the National Stock Exchange on Corporate Governance in pursuant to revised Clause of the Listing Agreement.

Presently, working in a BSE Listed Company in Chennai, as CFO & Company Secretary. Previously, was employed in M/s SOLUTIONNET INDIA as GM – Finance & Company Secretary, during September to May and was heading the entire Finance / Accounts / Legal & Admn. / Secretarial areas and functionally reporting to CEO at USA and administratively to the Managing Director in India.   My key role comprises of the following activities in the organization:

  • Directing the business affairs of the company by implementing the decisions of Boards of Directors & Shareholders
  • Act as advisers to the directors of the company on Statutory Compliance
  • Handle company share transactions such as issuing new shares, arranging for the payment of dividends and observing all legal requirements & Corporate Governance
  • Liaise with auditors, lawyers, tax advisers, bankers and shareholders
  • Attend and take minutes of meetings
  • Prepare reports, budgets and forecasts
  • Negotiate the terms of new business contracts & drafting of Agreements
  • Assess and arrange insurance cover for the company & employees
  • Administer the company's superannuating policy / ESOP & ESOS
  • Make sure that all requisite returns required by the various governmental organizations under Indian Corporate Laws are complied with in time
  • Make sure the requirements of the Income Tax Act & Companies Act are met
  • Make sure the company meets its compliance obligations under relevant statutory laws and the requirements of regulatory authorities
  • Represent the company in dealings with banks, shareholders & Legal forums
  • Financial administration, including the preparation of financial statements and budgets
  • MIS reports and critical analysis on Budgets & Costing of different cost centers & projects
  • Compliance with all STPI related matters, Administrative / Labour laws related matters.

    My previous employment was with M/s CALIFORNIA SOFTWARE LTD. CALSOFT, as Company Secretary cum Finance Manager for the period Jan to Sep . I was heading the Secretarial and Legal and played a key role in Finance & Accounts with functionally reporting to CFO and the Managing Director. My Job responsibility included various areas relating to MIS reporting, Corporate Governance, Capital restructure, Maintenance and finalization of Accounts, Capital Budgeting & Control, costing, coordination with Auditors for statutory and tax audit, Finance / Treasury & Risk management, Working capital management, STPI compliance & Customs bonding, Imports and Exports, Insurance, documentation and follow up of imports and exports, Corporate Direct and Indirect Taxation such as Central excise and sales tax, Individual / payroll taxation, transfer pricing &  Secretarial functions.  

    Earlier, I was working as Company Secretary cum Finance Manager – for M/s M M FORGINGS LTD, a leading autocomponent manufacturing company from Jan to Dec .  I was overall in charge for secretarial / legal functions and played a key role in all Finance operations relating to Project Finance Management, Project Monitoring & status reporting Working Capital Management, Term Loan arrangement with Financial Institutions, Forward Cover monitoring, L/C and Bank Guarantee Funding, Monitoring of TDS and Tax payments, Preparation of CIMA Reports for banks, Stock Verification and Audit, Liaison with Auditors, Preparation of Day Book, General Ledger, Trial Balance, Creditors Ledger, Debtors Ledger, Balance Sheet, Profit and Loss Account, Bank Reconciliation and Preparation of Fund flow and Cash flow Statement for Management & MIS with critical analysis report. In addition, also handled IPO, Rights & Bonus Issues & Listing of Securities on Stock Exchanges & SEBI’s compliance for listing norms. 

    My first employment was with M/s Amaravathi Chemical Ltd., a reputed Glucose manufacturing Company in the period from Aug to Dec , as an Asst. Company Secretary & Accounts Executive.
