  • Entire range of legal agreements for establishing a new telecom company in Pakistan from an existing cable operator from due diligence to corporate, regulatory and governmental approvals, Share Purchase Agreement, Shareholders Agreement, Management Agreement, Vendors to Service Agreements.

          Position  : Director   Legal   General Counsel of the      Government of Pakistan’s  private power         programme    with responsibility for     all      legal and  policy matters related to private      power projects   IPPs   above MW in        Pakistan. Specific duties included  drafting       standardized model    contracts   like   the      Gas/Oil Supply Agreements &   negotiating       other agreements like the Power Purchase      Agreements,    Sovereign    Guarantees,      Direct     Agreements,         Implementation      Government Support Agreements etc with      the    sponsors   and     lenders of   IPPs in      addition   to   recommending specific policy      and regulatory advice to the Government of      Pakistan.      

    Duties:   

  • Negotiated power plants agreements worth over US$ billion in the space of months. Sponsors have included Oman oil, Qatar Investment Authority, International Power, AES, Mitsui, Skoda, Asian Development Bank etc.
  • Made summaries for the cabinet of the Government of Pakistan and answered to a Board of Directors comprising Federal Secretaries of Petroleum, Finance, Power, Investment, Federal Chamber of Commerce, Energy advisor to the Prime Minister & Federal Minister for Water & Power.
  • Finalized the standard model agreements used for unsolicited thermal power plants above MW in Pakistan.
  • Drafted the model Letter of Support, Performance Guarantee, Letter of Interest, PreQualification Document, Statement of Qualification, Letter of Credit for unsolicited thermal power plants above MW in Pakistan.
  • Finalized the model agreements and all supporting documents used for International Competitive Bidding for thermal power plants in Pakistan.
  • Drafted the entire package of Security Documents for the first solicited competitive bidding project for a private power plant in Pakistan’s history i.e. the Implementation Agreement, Power Purchase Agreement, Letter of Support, Performance Guarantee, Bid Bond and RFP.
  • Drafted the final standardized direct IA and PPA agreements Acknowledgment and Consent used as the basis for negotiations with Lenders.

  • Main external legal counsel to two Islamic banks ie the National Development Finance Corporation & the Bank of Punjab for recoveries, settlement negotiations with defaulters, loan documentation, opinion work, restructuring of debts etc.
  • Restructuring and sale of assets through a ‘scheme of arrangement’ of the former Prime Minister of Pakistan, Nawaz Sharif’s  companies, Ittefaq group,  through the Court.
  • Assessing the balance sheets, current liabilities, loan documents and legal sufficiency of the property to be mortgaged as security collateralization with respect to the loan amounts on behalf of NDFC with respect to the biggest tv cable company, Worldcall Limited, in Pakistan.
  • Settlement proceedings against Barex Limited, owned by prominent newspaper publisher, MujiburRehman Shami, through a mutually agreed upon sale of assets/land to a rd party through the Court. Extensive drafting including trust deeds, auction notices, receipt notices, with extensive terms & conditions designed to protect the Bank.
  • Liquidation proceedings of Sheikh Impex Public Ltd, a large public limited company in liquidation and sale of its assets by creditor banks disputing the priority of each others mortgages and charges due to the insufficiency of the properties to pay the total loan amounts. Represented NDFC and argued for the priority of its mortgages/charges against the other secured creditors before the High Court.
  • Financial recoveries of extensive amounts through courts for banks including opinion work on opening a bank branch for NDFC bank in Lahore, Pakistan. Made the most cash recoveries by a single lawyer in a year on behalf of the Bank of Punjab % of total cash recoveries.
  • Securitization of assets for loans to one of the largest textile companies in Pakistan, Nishat Textile Mills through mortgages and charges, title search, company register searches, documentation etc.
  • Rescheduling agreement between the Bank of Punjab and Bilal Spinning Mills Ltd and drafting of a surety bond by a rd party in consideration of this rescheduling agreement for the benefit of this debtor. The rd party had agreed to stand as a principle debtor/surety cum indemnifier under a joint and several liability at source. Work was done on behalf of the Bank of Punjab.
