Saqib has been relocated from Dubai to DLA Piper's office in Riyadh, Kingdom of Saudi Arabia where he is working on various projects and providing assistance to international clients on the ground.
In addition, to advising on some of the largest Islamic financing deals in the Kingdom of Saudi Arabia. Saqib has extensive experience in advising multinational and Saudi corporations in relation to foreign direct investment, incorporations, compliance, IPOs and regulatory regimes.  Saqib has acted for the National Commercial Bank, the largest Saudi bank, in engineering Shari'ah complaint retail products. Saqib also served as Saudi Counsel to the Rabigh petrochemical project and the SAAD sukuk issue.
Saqib possesses strong bilingual skills where he can negotiate, draft and transact in Arabic and English based on his previous experience as a freelance translator. Earlier in his career, Saqib worked as a bilingual researcher in the fields of corporate media, comparative commercial laws and Shari'ah.

Islamic Project Finance

Saqib's Islamic finance practice offers a genuine and comprehensive knowledge of Shari'ah as well as experience in serving as the legal counsel in leading Islamic finance transactions. Saqib has studied Shari'ah during his undergraduate and postgraduate studies and was one of the lawyers of seminal Islamic project financings.

Saqib helped in devising Shari'ah complaint structures based on mudaraba partnership, murabaha financing, ijara financing, istisna'a arrangement, takaful insurance and sukuk issuances. Saqib is a native Arabic speaker and have sound Islamic jurisprudence background. Following are some of the major transactions that Saqib worked on:

  • Acting for leading Islamic leasing company in Saudi Arabia in connection with structuring Sukuk al Ijara, the fourth of its kind in the Kingdom of Saudi Arabia, for an aggregate issue of SR million.
  • Islamic finance lawyer for the largest Islamic financial institution advising on, structuring, documenting and negotiating a novel Ijara financing structure for the purchase of real estate property in Dubai for an aggregate value of  AED million.
  • Saudi law counsel for PetroRabigh, a US$. billion refinery and petrochemical project at Rabigh including advice on local procedural issues, incorporation and labour laws the Euromoney/IFLR Project Finance Deal of the Year awarded in .
  • Acting as local counsel in relation to the issuance of US$ million sukuk al manaf'e by Al Khobar based Saudi conglomerate whose core business is construction and real estate investments.  This issue was part of a programme to raise US$ billion over the medium term and has secured the mandate of major international banks.  It is the second largest corporate sukuk originating from Saudi Arabia after the SABIC sukuk.
  • Arranging and negotiating in relation to the issuance of sukuk al mudaraba by an Islamic real estate company in Canada.  The issue is considered to be the first of its kind in the real estate sector of Canada.
  • Devising a novel sukuk structure based on an assortment of real estate holdings in global investment funds.  This unique sukuk structure was formulated in an innovative way for achieving the required financial needs in a Shari'ah compliant manner.
  • Saudi Arabian common counsel to Islamic lenders in connection with Jana petrochemical project in the Kingdom of Saudi Arabia, a project of NAMA Co., including advice in connection with structuring/devising novel Islamically compliant structures.
  • Lead Saudi Arabian lawyer for the National Commercial Bank of Saudi Arabia in connection with structuring and drafting novel Shari'ah compliant products for retail home finance scheme.
  • Saudi counsel to Saudi banks in advising on structuring, documenting and negotiating novel Islamic financing structures in the Kingdom of Saudi Arabia, including sukuk al ijara, musharaka, ijara and wakala.
  • Corporate and Capital Market

    Involvement in all aspects of incorporation work in Saudi Arabia, from undertaking due diligence, preparing prospectuses, information memoranda and associated documentation, drafting and negotiating partnership agreements, placement and subscription agreements, as well as advising on the application of capital market regulations to joint stock companies that are in the process of going public.  Specific transactions include:

  • Common counsel for leading US and European firms in relation to FDI transactions in Saudi Arabia, carrying out all the requisite licensing, regulatory, commercial and corporate work in close contact with Saudi Arabian governmental authorities. 
  • Common counsel in connection with a joint venture between leading US Telecommunication Company and Saudi Arabian entities for the implementation of a fixed line project in Saudi Arabia and the creation of a public joint stock company. In addition to advising on financing issues in relation thereto.
  • Common counsel in connection with advising the General Authority of Civil Aviation of Saudi Arabia in relation to consumer protection laws.
  • Lead counsel representing major US/European manufacturer in relation to the sale of multi million military equipments to a Saudi Arabian entity.
  • Lead counsel in the private placement issuance of a bio acids company located in the western region of Saudi Arabia.
  • Saudi Arabian common counsel in connection with the two leading IPOs in Saudi Arabia, namely: Rakisa Company's holding company for the Prince Musa'ed Economic City of Ha'el for the aggregate issue of SR, Billion and Khozama Management Company owned by the King Faisal Philanthropic Foundation for the aggregate issue of SR. Billion.
  • Saudi counsel in connection with the incorporation of three major foreign insurance companies in the Kingdom of Saudi Arabia, namely: BUPA Investments Overseas Limited, AlAlamiya Insurance Company and Tokio Marine & Nichido Company.
  • Lead counsel in relation to the private placement of real estate fund in the Western region of Saudi Arabia working along with the financial advisor on translational documents including compliance with local laws.
  • Advising multinational companies on commercial agency and franchise arrangements, including drafting agency agreements.
  • Lead counsel to a leading Saudi bank on underwriting arrangement in relation to the public offering of a large telecommunication company.
  • Lead counsel for the creation of Shari'ah compliant real estate investment fund, licensed by the Capital Market Authority of Saudi Arabia, raising SAR million.
  • Lead counsel for the creation of GCC Sukuk Fund, through private placement, with the aim to raise SAR million.
  • Saudi counsel to the financial advisor in relation to an opportunity fund in the biotech and heal sectors of Saudi Arabia with the aim of raising SAR million.
  • Saudi counsel to the financial advisor in relation to the formation of a real estate fund that raised SAR million.
